By creating an account, accessing, or using the RoamLet platform (the "Platform," "RoamLet," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
RoamLet is currently operated as an early-stage business. Formal corporate registration is in progress, and this document will be updated to reflect the specific legal entity operating the Platform once that process is complete.
These Terms constitute a legally binding agreement between you and RoamLet. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
RoamLet is an online marketplace that connects individuals seeking flexible-term rental housing ("Roamers") with individuals or entities offering rental listings ("Hosts") for lease terms of approximately one (1) to twelve (12) months.
RoamLet is a facilitator only. RoamLet:
Any lease, tenancy agreement, or other arrangement entered into between a Host and a Roamer is solely between those parties. RoamLet is not responsible for the performance, non-performance, terms, or enforcement of any such agreement.
You must be at least 18 years of age and capable of forming a legally binding contract under Ontario law to create an account or use the Platform.
You agree to:
RoamLet reserves the right to suspend, restrict, or terminate any account, at its sole discretion, for any reason or no reason, including but not limited to a suspected violation of these Terms, applicable law, or the Listing Standards published by RoamLet.
You are solely responsible for your own conduct, listings, communications, and any content you post, transmit, or otherwise make available through the Platform ("User Content").
You agree not to:
Hosts are solely responsible for ensuring that their listings, tenancy terms, and conduct comply with all applicable law, including but not limited to the Residential Tenancies Act, 2006, municipal licensing and property standards requirements, and human rights legislation. RoamLet does not review listings for legal compliance and disclaims any responsibility for a Host's failure to comply with applicable law.
Roamers are solely responsible for conducting their own due diligence on any listing, Host, or property before entering into any tenancy arrangement, including in-person viewing where reasonably possible, and for the terms of any lease they choose to enter into.
The Platform may permit Users to post reviews, ratings, or other feedback. RoamLet does not verify the accuracy of reviews and disclaims any liability for the content of reviews posted by Users. By posting a review, you represent that it reflects your genuine, good-faith experience and does not contain false, defamatory, or unlawful content.
RoamLet reserves the right, but has no obligation, to remove, edit, or refuse to publish any User Content at its sole discretion.
RoamLet may charge Hosts a subscription fee for use of certain Platform features, as described at the time of subscription. Roamer accounts are free of charge. All payment processing for RoamLet subscription fees is handled through a third-party payment processor (currently Stripe, Inc.). RoamLet does not store your full payment card details. Your use of the third-party payment processor is subject to that processor's own terms and privacy policy.
Subscription fees are billed on a recurring basis as disclosed at checkout and are non-refundable except as required by applicable law or as otherwise expressly stated by RoamLet.
The Platform relies on and integrates with third-party service providers, including but not limited to Stripe (payment processing), Supabase (data hosting and infrastructure), and email delivery providers. RoamLet is not responsible for the acts, omissions, availability, security practices, or performance of any third-party service provider, and your use of such services may be subject to their own separate terms and privacy policies.
THE PLATFORM AND ALL CONTENT, TOOLS, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR ACCURATE.

Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law, including Ontario's Consumer Protection Act, 2002.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROAMLET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ROAMLET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, ROAMLET SHALL NOT BE LIABLE FOR ANY DISPUTE, LOSS, OR DAMAGE ARISING FROM OR RELATED TO: (A) ANY LEASE, TENANCY, OR RENTAL ARRANGEMENT BETWEEN A HOST AND A ROAMER; (B) A MISSED, DELAYED, OR INACCURATE RENT REMINDER, COMPLIANCE REMINDER, OR OTHER NOTIFICATION; (C) THE CONDUCT, MISCONDUCT, OR NEGLIGENCE OF ANY HOST OR ROAMER; (D) THE ACCURACY OF ANY LISTING OR USER CONTENT; OR (E) ANY PAYMENT DISPUTE BETWEEN A HOST AND A ROAMER, SINCE ALL SUCH PAYMENTS ARE MADE DIRECTLY BETWEEN THE PARTIES OFF-PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROAMLET'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT YOU PAID TO ROAMLET IN SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) FIFTY CANADIAN DOLLARS (CAD $50).
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable Ontario or Canadian law, including liability for gross negligence, willful misconduct, or fraud.
You agree to indemnify, defend, and hold harmless RoamLet, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Platform; (b) your violation of these Terms or any applicable law; (c) any lease, tenancy, or rental arrangement you enter into with another User; (d) your User Content; or (e) your violation of any rights of another person or entity.
RoamLet may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time by following the account closure process on the Platform. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 8, 9, 10, and 13) shall survive.
RoamLet reserves the right to modify, suspend, or discontinue the Platform, in whole or in part, at any time without liability to you. RoamLet may also revise these Terms from time to time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date above. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Ontario privacy law.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with the Privacy Policy and any other legal notices published by RoamLet on the Platform, constitute the entire agreement between you and RoamLet concerning the Platform and supersede all prior agreements and understandings.
